CONSTITUTION AND RULES OF THE CAT JUDGES GUILD of AFRICA - CJGA
1. NAME
The association shall be known as the Cat Judges Guild of Africa, a voluntary association, with an independent legal persona.
2. OBJECTS
2.1 The formal recognition and licensing of suitably qualified cat judges. These judges may be independent or affiliated to other organisations.
2.2 The establishment of a Training Academy of Excellence
2.2.1 To train cat judges according to acceptable standards.
2.2.2 To convene continued education - and other cat related workshops from time to time.
2.3 The promotion of a general code of ethics and conduct of cat judges. See Judges code of Ethics - Addendum A.
2.4 The promotion of good sportsmanship amoungst exhibitors and the promotion of exhibiting well presented and healthy cats.
2.5 The promulgation of rules pertaining to judges training, judges ethics and conduct.
2.6 The promulgation of rules pertaining to financial matters.
2.7 To hold general meetings from time to time.
3. FINANCIAL YEAR END
3.1 The financial year end of the Guild is the end of February annually.
4. FINANCES
4.1 Fees may be collected in the form of membership fees, as decided from time to time.
4.2 The Guild may accept sponsorship and donations, monetary or otherwise to further its objectives.
5. MEMBERSHIP
5.1 Full membership shall be open to any suitably qualified cat judge, accepted by the Guild Committee, on application.
5.2 Student/aspirant membership shall be open to student and aspirant cat judges, accepted by the Guild Committee, on application.
6. OFFICERS AND THE ELECTION OF OFFICERS
6.1 The Guild shall be administered by a committee, comprising of a President, Vice President, Secretary, Treasurer and an additional member duly elected by a simple majority vote at a general meeting. The term of office shall be decided at the meeting.
6.2 At least three committee members must be qualified judges.
6.3 The committee shall have the right to co-opt onto the Guild Committee any person or persons chosen by it from the Guild’s members. A co-opted committee member shall enjoy all the rights and be subject to all the obligations of the members of the Guild Committee.
7. OTHER PROFESSIONAL OFFICERS
7.1 Save as specifically provided otherwise in this constitution, the Guild Committee shall at all times have the right to engage on behalf of the Guild the services of Accounting Officers, Auditors, Attorneys, Advocates, any other professional person or firm and/or any other employee/s whatsoever, for any reasons thought necessary by the Guild Committee and on such terms as the Guild Committee shall decide.
8. MEETINGS
8.1 Committee Meetings:
8.1.1 Meetings of the Guild Committee shall be held from time to time as the need arises and may be physical meetings, or via electronic media. All members will be advised of a planned meeting and the agenda will be sent out at least one week before the meeting is due to take place.
8.1.2 The quorum necessary for the holding of any meeting of the Guild Committee shall be fifty percent of the total number of the current committee members.
8.2 GENERAL MEETINGS:
8.2.1 General meetings shall be arranged by the Guild Committee as the need arises or on request of a majority of members and may be physical meetings, or via electronic media. All members will be advised of a planned meeting and the agenda will be sent out at least two weeks before the meeting is due to take place.
8.2.2 Only qualified cat judges are eligible to vote at general meetings.
8.2.3 A minimum of five members eligible to vote should attend the meeting in order to form a quorum.
8.2.4 The financial statements of the Guild and the Treasurer’s report to the Guild must be approved at (an Annual) the first General Meeting (held within three months after) following the end of the financial year.
9. PROXIES
9.1 A Guild Member may be represented at a physical general meeting by a proxy. The proxy must be a member of the Guild. The instrument appointing a proxy shall be in writing, signed by the member concerned or his duly authorized agent in writing, but need not be in any particular form. Members may receive no more than one proxy each.
10. AFFILIATION
10.1 The Guild shall not be affiliated to any other body and functions independently.
10.2 The Guild shall strive for co-operation with other cat judging organisations, cat clubs and – associations, both nationally and internationally.
11. AMENDMENTS TO THE CONSTITUTION
11.1 The constitution and rules may be amended at a general meeting with consent of a two-third majority of members voting. The meeting may be a physical meeting or may be conducted via electronic means.
12. DISSOLUTION OF THE ASSOCIATION
12.1 The Guild may be dissolved during a general meeting, as above, with the consent of a two-third majority of members voting and any assets will be donated to a cat club, organisation, animal charities or charity as selected by the attending members.
13. EFFECTIVE DATE
13.1 The provisions of this Constitution came into force by a resolution taken at the Founding Meeting of the Cat Judges Guild of Africa on 22 October 2016.
